1. Acceptance of these terms

These Terms & Conditions ("Terms") govern your access to and use of the PromptMint website at promptmint.app, the "Studio" application, the builder tools, and every related service (together, the "Service"). The Service is operated by [Your registered business / proprietor name] ("we", "us", or "our").

By registering an account, clicking "Start free", making a payment, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Refund & Cancellation Policy, Privacy Policy, Acceptable Use & Account Policy, and Subscription & Billing Terms, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.

To use most features you must create an account with a valid name and email address, or sign in with Google. You agree to:

• provide accurate, current, and complete information;
• keep your password confidential and not share your account;
• be responsible for all activity that occurs under your account; and
• notify us promptly at madmarketingclub@gmail.com if you suspect unauthorised use.

One person or entity may not maintain multiple free accounts to obtain additional free mints. Detailed account rules are set out in our Acceptable Use & Account Policy.

3. What the Service does

PromptMint provides guided, step-by-step "builders" that assemble ready-to-use text prompts for ecommerce content — product-image prompts, marketplace listings, social posts, SEO briefs, and similar outputs. Each generation is called a "mint" and spends one credit from your balance.

The Service produces prompts and text — it does not generate final images, and it does not guarantee any particular result, ranking, sales outcome, or performance when you use those prompts in a third-party AI tool or marketplace. You are responsible for reviewing outputs before you use them.

We may add, change, or remove builders, steps, options, and features at any time to improve the Service.

4. Mints, plans, and billing

Access is organised into tiers — a free "Sprout" tier, paid subscription plans, and a reduced allowance for lapsed subscribers. The plans, mint pools, prices, billing cycle, taxes, upgrades, downgrades, and expiry are described in full in our Subscription & Billing Terms.

Key points:

• A mint is a consumable credit. Once spent to generate a prompt, it is used up, whether or not you keep or use the result.
• Paid plans grant a mint pool for a fixed period and do not automatically renew — there are no surprise charges and no lock-in. You choose to renew.
• Prices are shown in INR and are set in the app; we may change prices prospectively for future purchases.

5. Payments

Paid plans are processed through our third-party payment provider, Razorpay. When you make a payment you also agree to Razorpay's own terms and privacy policy. We do not receive or store your full card, UPI, or bank credentials — that information is handled by Razorpay under applicable payment-security standards.

You confirm that any payment instrument you use is lawfully yours. If a payment is reversed, charged back, or fails after a plan has been activated, we may suspend or downgrade your access until the amount is resolved. Any taxes that apply to your purchase are addressed in the Subscription & Billing Terms.

6. Your inputs and generated prompts

Your inputs. The keywords, product details, and text you enter into the builders remain yours. You grant us a limited licence to process that content solely to operate and improve the Service (for example, to assemble your prompt and maintain your account).

Your outputs. As between you and us, the prompts you mint are yours to keep and use for any lawful purpose, including commercially. We do not claim ownership of your generated prompts.

Your responsibility. You are responsible for what you input and for how you use the outputs. You must not input content you do not have the rights to, and you must comply with the terms of any external AI tool, marketplace, or platform where you use the prompts. Because AI outputs may be similar for different users and their legal status can vary by jurisdiction, we do not warrant that any output is unique or protectable.

7. Our intellectual property

The Service itself — including the PromptMint name, logo, design system, builder logic, templates, workspace structure, copy, and software — is owned by [Your registered business / proprietor name] or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose while these Terms are in effect.

You may not copy, resell, sublicense, frame, scrape, or create derivative works from the Service, nor use our branding without prior written permission.

8. Acceptable use

You agree to use the Service only for lawful purposes and in line with our Acceptable Use & Account Policy. In particular, you must not use the Service to create, promote, or distribute content that is illegal, infringing, deceptive, hateful, or harmful, and you must not attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service. Breach of the Acceptable Use policy is a breach of these Terms.

9. Third-party services

The Service relies on third parties including Razorpay (payments), Google (optional sign-in), and our email and hosting providers. Your use of those integrations may be subject to their own terms and privacy policies. We are not responsible for third-party services, and their availability is outside our control.

10. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, modify features, or suspend parts of the Service, and we may impose reasonable usage limits (such as free-mint and daily allowances) to keep the Service running fairly for everyone.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that outputs will be accurate, reliable, or fit for your commercial goals. You use the Service and its outputs at your own risk and discretion.

12. Limitation of liability

To the maximum extent permitted by law, [Your registered business / proprietor name] and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service.

Our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the total amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) ₹1,000. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnity

You agree to indemnify and hold harmless [Your registered business / proprietor name] and its team from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising from your inputs, your use of outputs, your breach of these Terms, or your violation of any law or third-party right.

14. Suspension and termination

You may stop using the Service and close your account at any time by contacting us. We may suspend, restrict, ban, or terminate your account — with or without notice — if you breach these Terms or the Acceptable Use policy, if required by law, or to protect the Service and other users.

On termination, your right to use the Service ends immediately. Unused mints or unexpired plan time are non-transferable and are handled under our Refund & Cancellation Policy. Sections that by their nature should survive termination (including IP, disclaimers, liability, and indemnity) will continue to apply.

15. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for material changes, take reasonable steps to notify you (for example, by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights you have, you agree that the courts at [City, State] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before starting formal proceedings, both parties agree to try in good faith to resolve the dispute by contacting each other first.
